These Terms and Conditions of Use ("Terms") govern your access to and use of the EPICA™ website, mobile application, and all related services (collectively, the "Platform") provided by EPICA Inc. ("EPICA," "we," "our," or "us").

By accessing or using the Platform, creating an account, participating in a Trip, or otherwise using any EPICA services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and EPICA Inc.

2. Nature of the EPICA™ Platform

EPICA™ is a hospitality technology platform designed to organize property-specific hospitality information, facilitate post-booking group travel coordination, and enhance the guest experience before, during, and after a stay. The Platform serves participating vacation rentals, hotels, resorts, golf destinations, and other hospitality properties.

The Platform enables participating Hosts and Guests to organize accommodations, coordinate itineraries, communicate with one another, discover local experiences and access property information.

EPICA also provides professional onboarding services that assist Hosts in creating and maintaining a comprehensive digital guest experience for their Properties.

Unless expressly stated otherwise, EPICA is not:

  • a vacation rental marketplace;

  • a property manager;

  • a real estate broker;

  • a travel agency;

  • a tour operator;

  • an employer of Third-Party Vendors;

  • a payment processor;

  • an insurer;

  • or a party to agreements between Hosts, Guests, or Third-Party Vendors.

EPICA provides technology and related services that facilitate communication, coordination, and organization among participants in the Platform.

Users are responsible for:

  • maintaining the confidentiality of account credentials;

  • safeguarding devices used to access the Platform;

  • all activity occurring under their account.

EPICA may suspend or terminate accounts that violate these Terms or compromise the integrity of the Platform.

_______________________

6. Professional Onboarding Services

Unlike traditional software platforms that require Hosts to build and maintain their own digital property listings, EPICA may provide professional onboarding services designed to prepare a Property for publication within the Platform.

These services may include:

  • organizing Property information;

  • formatting descriptions;

  • preparing amenity listings;

  • organizing bedroom configurations;

  • developing Guest Guides;

  • preparing frequently asked questions;

  • organizing local recommendations;

  • categorizing activities and experiences;

  • formatting photographs;

  • creating Property-specific hospitality content.

These services are provided solely as a convenience to participating Hosts.

Although EPICA may prepare, organize, enhance, or present Property information on behalf of a Host, the Host remains solely responsible for reviewing, approving, and maintaining the accuracy of all Property information presented through the Platform.

Host approval constitutes confirmation that published Property information accurately reflects the Property.

_______________________

7. Property Knowledge Base

EPICA organizes Property information into a searchable digital knowledge base intended to improve the guest experience.

Information within the Property Knowledge Base may originate from:

  • EPICA onboarding services;

  • Host-provided information;

  • Property documentation;

  • Guest Guide content;

  • frequently asked questions;

  • Host-approved updates;

  • other information approved for publication by the Host.

As Guests interact with the Platform, Hosts may choose to expand or refine Property information by providing additional answers, clarifications, or recommendations.

EPICA may incorporate this information into the Property Knowledge Base to improve future guest experiences.

Hosts retain responsibility for ensuring the accuracy of Property-specific information maintained within the Property Knowledge Base.

_______________________

8. Host Responsibilities

Hosts are responsible for:

  • maintaining accurate Property information;

  • ensuring the accuracy of amenities and accommodations;

  • maintaining current house rules;

  • reviewing all Property content prepared by EPICA;

  • maintaining current recommendations;

  • ensuring the accuracy of Guest Guide information;

  • communicating material Property changes to EPICA;

  • complying with applicable laws governing their Property.

Hosts acknowledge that EPICA organizes and presents information but does not independently verify the accuracy of Host-provided content.

_______________________

9. Guest Responsibilities

Guests agree to:

  • provide accurate account information;

  • comply with applicable laws;

  • respect participating Hosts;

  • comply with Property rules;

  • respect other Guests;

  • refrain from unlawful or abusive conduct;

  • use the Platform only for legitimate travel-related purposes.

Guests remain responsible for decisions they make based upon information presented through the Platform.

_______________________

10. Lead Guest and Co-Leader Responsibilities

Each Trip designates one Lead Guest.

The Lead Guest serves as the primary coordinator for the participating guest group and is responsible for completing applicable onboarding activities associated with the Trip.

Lead Guests may:

  • invite Guests;

  • designate Co-Leaders;

  • complete onboarding activities;

  • coordinate itineraries;

  • organize activities;

  • update guest participation;

  • manage other administrative features provided by the Platform.

Co-Leaders may receive additional permissions designated by the Lead Guest, including the ability to:

  • coordinate activities;

  • update RSVP information;

  • organize group schedules;

  • book eligible experiences where permitted;

  • perform other administrative functions authorized by the Platform.

EPICA reserves the right to modify available permissions as the Platform evolves.

_______________________

11. Messaging and Communications

The Platform includes messaging functionality intended to facilitate communication among participating Hosts and Guests.

Lead Guests and Co-Leaders may communicate with participating Hosts and authorized Property staff.

Guests may communicate individually with other invited Guests or with the participating guest group.

EPICA may utilize trusted third-party communication providers to facilitate messaging services.

Users agree that communications transmitted through the Platform must remain respectful, lawful, and directly related to Trip coordination.

_______________________

12. Vendor Services and Booking Models

EPICA may present information relating to Third-Party Vendors offering services associated with a Trip.

These vendors operate independently from EPICA.

EPICA currently supports multiple booking models.

Third-Party Booking Providers

EPICA may facilitate access to experiences and services offered through integrated Third-Party Booking Providers.

Bookings made through these providers are subject to the applicable provider's terms, pricing, payment, cancellation, and refund policies. Guest payments are processed by the applicable Third-Party Booking Provider.

EPICA may earn commissions or other referral compensation from participating Third-Party Booking Providers. Certain qualifying bookings may generate Partner Earnings for Properties enrolled in the Host Partner Earnings Program described in Section 13.

Partner Earnings are calculated from EPICA's Eligible Commission, not from the total amount paid by the Guest.

Host-Curated Vendors

Hosts may also recommend independent vendors that do not participate in third-party booking platforms.

For these vendors, EPICA may facilitate:

  • scheduling requests;

  • booking coordination;

  • availability confirmations;

  • communication workflows;

  • calendar updates.

Unless expressly stated otherwise, payments for Host-curated vendor services occur directly between the Host, Guest, and vendor.

EPICA is not responsible for collecting or distributing payments relating to Host-curated vendors.

EPICA may assess service or booking fees to participating Hosts in connection with these coordination services.

Host-Arranged Experiences

Participating Hosts may offer experiences and services, including those provided through their preferred local vendors, directly to Guests through the EPICA Platform.

The Host determines the retail price charged to Guests and is responsible for collecting Guest payments, compensating vendors, and fulfilling the experience under its existing business arrangements.

EPICA markets and promotes these experiences to Guests, encourages bookings, and facilitates communication and booking confirmations between Hosts and Guests.

For each confirmed Host-Arranged Experience booking facilitated through the Platform, EPICA charges the participating Property a booking commission equal to four percent (4%) of the retail price paid by the Guest, as established by the Host.

EPICA does not collect Guest payments or distribute vendor payments for Host-Arranged Experiences.

_______________________

13. Host Partner Earnings Program

13.1 Program Overview

EPICA offers eligible participating Hosts the opportunity to enroll their Properties in the Host Partner Earnings Program. Under this program, participating Properties may earn revenue when Guests book qualifying experiences through integrated Third-Party Booking Providers.

Under the standard program, enrolled Properties receive twenty percent (20%) of the Eligible Commission actually received and retained by EPICA from qualifying bookings.

Partner Earnings are calculated from EPICA's Eligible Commission, not from the total booking price paid by the Guest.

13.2 Enrollment and Eligibility

Participation in the Host Partner Earnings Program is optional and requires affirmative enrollment or opt-in by an authorized Host acting on behalf of a participating Property.

Enrollment is subject to EPICA's approval and applicable program requirements.

The participating Property or its authorized business entity, rather than the individual Host, is the recipient of Partner Earnings.

The enrolling Host represents that they are authorized to enroll the Property, accept the applicable program terms, and designate payment information on behalf of the participating business.

13.3 Qualifying Bookings

A booking qualifies for Partner Earnings only when:

  • The Property is enrolled in the Host Partner Earnings Program when the booking is made.

  • The booking is associated with that Property and properly attributed through EPICA's tracking systems.

  • The booking is completed through an eligible Third-Party Booking Provider using an approved EPICA booking channel or integration.

  • The booking is recognized by the Third-Party Booking Provider as commissionable to EPICA.

  • EPICA actually receives and retains the applicable commission.

  • The booking has not been canceled, refunded, reversed, determined to be fraudulent, or otherwise disqualified.

Bookings made outside eligible EPICA booking channels do not generate Partner Earnings.

EPICA's records and applicable Third-Party Booking Provider reports will be used to determine eligibility and attribution, subject to correction of verified errors.

13.4 Calculation of Partner Earnings

Partner Earnings equal twenty percent (20%) of the Eligible Commission for each qualifying booking.

For example, if EPICA receives and retains a $50 Eligible Commission, the participating Property earns $10.

Partner Earnings are not calculated on the Guest's total booking price, vendor revenue, or amounts that EPICA does not receive as Eligible Commission.

13.5 Quarterly Payments

EPICA pays confirmed Partner Earnings quarterly, within thirty (30) calendar days following the end of each calendar quarter, subject to the minimum payout threshold in Section 13.6.

Partner Earnings become eligible for payment only after the applicable Third-Party Booking Provider confirms the qualifying commission and EPICA actually receives and retains the corresponding funds.

Commissions received after the applicable quarterly cutoff will be considered for the next eligible quarterly payment cycle.

Payments remain subject to applicable adjustments and verification requirements described in this Section.

13.6 Minimum Payout Threshold

A minimum accumulated balance of twenty-five U.S. dollars ($25 USD) is required for a quarterly Partner Earnings payment.

Balances below $25 automatically carry forward to subsequent quarters until the minimum payout threshold is reached.

Carried-forward balances remain subject to applicable adjustments, reversals, and eligibility requirements.

Upon termination of participation, any remaining confirmed Partner Earnings balance will be paid during the next applicable quarterly payment cycle after the balance becomes confirmed and payable, even if the balance is below $25, subject to verification and applicable adjustments.

13.7 Payment Recipient and Information

All Partner Earnings payments will be issued to the participating Property or its authorized business entity, using payment information designated by an authorized representative.

Participating Properties must provide accurate payment information and any tax documentation reasonably required to process payments.

EPICA may delay payments when reasonably necessary to verify eligibility, investigate suspected fraud, resolve booking disputes, or comply with applicable law.

13.8 Cancellations, Refunds, and Adjustments

Partner Earnings remain subject to adjustment if a qualifying booking is canceled, refunded, disputed, reversed, or otherwise adjusted by the applicable Third-Party Booking Provider.

If an adjustment occurs after Partner Earnings have been paid, EPICA may offset the overpaid amount against future Partner Earnings or seek reimbursement where permitted by law.

13.9 Termination of Participation

A participating Property may discontinue its enrollment in the Host Partner Earnings Program or terminate its EPICA subscription.

Upon the effective date of termination, the Property will no longer be eligible to accrue Partner

Earnings from new bookings.

Qualifying bookings made before the effective date of termination remain eligible for Partner

Earnings, even if EPICA receives the corresponding commission after termination, provided all other program requirements are satisfied.

Eligible Partner Earnings attributable to such bookings remain payable under the applicable quarterly payment schedule, subject to verification, adjustments, and payment requirements.

EPICA may suspend or terminate participation for fraud, misuse, violation of these Terms, or other legitimate program-integrity reasons. Earnings attributable to fraudulent or otherwise disqualified bookings are not payable.

13.10 Changes to the Partner Earnings Rate

EPICA may modify the standard Partner Earnings percentage by providing enrolled participating Properties with at least thirty (30) days' advance notice.

Changes to the earnings percentage apply prospectively only, based on the date a qualifying booking is made.

Qualifying bookings made before the effective date of a rate change will remain subject to the rate in effect when those bookings were made, even if the applicable commission is received by EPICA afterward.

EPICA may also modify program eligibility requirements, participating booking providers, and administrative procedures upon notice as required by applicable law.

13.11 Taxes

Participating Properties are responsible for reporting and paying applicable taxes on Partner

Earnings received, except for taxes EPICA is legally required to withhold or remit.

EPICA may request tax identification information and issue applicable tax reporting documents as required by law.

13.12 Third-Party Booking Providers

Third-Party Booking Providers independently establish their booking, cancellation, refund, and commission policies.

EPICA does not guarantee that any particular experience, booking provider, or commission opportunity will remain available.

EPICA is not responsible for a Third-Party Booking Provider's failure to complete a booking, remit a commission, or maintain its integration with the Platform.

13.13 No Guaranteed Earnings

Participation in the Host Partner Earnings Program does not guarantee any minimum number of bookings, commissions, or earnings.

Actual Partner Earnings depend on qualifying Guest bookings, successful attribution, applicable provider commissions, and EPICA's receipt and retention of those commissions.

Important: Section 13 intentionally ends at 13.13. The previously drafted Section 13.14 concerning Host-Arranged Experiences has been eliminated entirely.

14. Guest Guide and Frequently Asked Questions

EPICA provides a Guest Guide that allows Guests to access property information, amenities, instructions, recommendations, and frequently asked questions supplied or approved by participating Hosts.

The Guest Guide may match Guest questions with existing information in the property's knowledge base. Responses are based on available property information and may occasionally be incomplete, inaccurate, or outdated.

Hosts remain responsible for maintaining accurate property information. Guests should verify important details directly with their Host when necessary.

_______________________

15. User Content

Users retain ownership of the content they submit to the Platform, including profile photographs, messages, dietary preferences, food allergy information, Trip participation details, and other information voluntarily provided through EPICA.

By submitting content to the Platform, you grant EPICA a non-exclusive, worldwide, royalty-free license to host, store, reproduce, organize, modify solely for formatting and presentation purposes, transmit, display, and otherwise process such content as necessary to operate, maintain, improve, and support the Platform.

This license terminates when your content is permanently removed from the Platform, except to the extent retention is required by applicable law, necessary to resolve disputes, enforce these Terms, or maintain backup and archival systems.

Users represent that they possess all necessary rights to submit any content they upload and that such content does not infringe upon the rights of any third party.

Dietary Preferences and Food Allergies

EPICA facilitates the communication of dietary preferences, food allergies, and special meal requests among participating Guests, Hosts, authorized property staff, and relevant service providers. EPICA does not prepare, handle, or serve food and does not guarantee that meals or services provided by Hosts or independent providers will be free from allergens or meet individual dietary requirements. Guests should communicate critical dietary restrictions directly to the Host or applicable food service provider.

Nothing contained in these Terms transfers ownership of any EPICA intellectual property to any user.

EPICA may organize, categorize, summarize, format, enhance, or otherwise transform Host-provided information for presentation through the Platform. Such presentation methods, organizational structures, and technology constitute proprietary intellectual property of EPICA and do not transfer ownership of the underlying Host information.

Nothing in this section transfers ownership of your intellectual property beyond the feedback voluntarily submitted.

Users agree not to:

  • violate applicable laws;

  • impersonate another person;

  • access accounts without authorization;

19. Platform Availability

EPICA continually works to provide reliable Platform availability; however, uninterrupted service cannot be guaranteed.

Platform performance depends upon numerous third-party systems including:

  • internet service providers;

  • cellular networks;

  • wireless connectivity;

  • cloud hosting providers;

  • mobile operating systems;

  • device manufacturers;

  • third-party integrations.

EPICA shall not be responsible for interruptions resulting from circumstances beyond its reasonable control, including internet outages, poor cellular coverage, power failures, weather events, natural disasters, governmental actions, third-party service interruptions, or user device limitations.

Certain Platform content may be cached locally for limited offline access. Offline functionality varies by feature, device, and operating system and is not guaranteed.

_______________________

20. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

EPICA disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, uninterrupted availability, or error-free operation.

EPICA does not warrant:

  • the accuracy of Host-supplied information;

  • the performance of Third-Party Vendors;

  • uninterrupted Platform availability;

  • the availability of third-party booking providers;

  • that AI-generated responses will always be accurate or complete.

Hosts remain solely responsible for Property-specific information made available through the Platform.

Third-Party Vendors remain solely responsible for their own products and services.

_______________________

21. Limitation of Liability

To the maximum extent permitted by applicable law, EPICA Inc., including its officers, directors, employees, affiliates, and representatives, shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of the EPICA platform, including but not limited to lost profits, lost data, travel disruptions, interrupted activities, or service cancellations.

EPICA provides technology for travel planning, communication, booking coordination, and guest services. EPICA does not own or operate vacation rental properties and does not directly provide transportation, dining, excursions, or other travel experiences. Participating Hosts and independent third-party service providers are responsible for the services they provide, subject to applicable law.

Host Liability Limitation

To the maximum extent permitted by applicable law, EPICA's total aggregate liability to any Host for all claims arising from or relating to the EPICA platform shall not exceed the total fees paid directly to EPICA by that Host during the twelve (12) months preceding the event giving rise to the claim.

Guest Liability Limitation

EPICA provides Guests with complimentary access to its platform. To the maximum extent permitted by applicable law, EPICA's total aggregate liability to any individual Guest for all claims arising from or relating to the EPICA platform shall not exceed one hundred U.S. dollars ($100 USD).

This $100 limitation applies in aggregate per individual Guest, not separately for each incident, activity, or booking.

Payments made by Guests directly to Viator, participating Hosts, or independent service providers do not constitute payments to EPICA and shall not increase EPICA's contractual liability limits.

Exceptions

Nothing in this section excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

Partner Earnings

Participation in the Host Partner Earnings Program does not guarantee any particular booking volume, commission amount, or future earnings. EPICA is not liable for anticipated commissions or earnings that do not qualify under Section 13.

Nothing in this Section eliminates EPICA's obligation to pay confirmed Partner Earnings properly due under Section 13, subject to applicable adjustments, offsets, and legal requirements.

_______________________

22. Indemnification

You agree to defend, indemnify, and hold harmless EPICA Inc., its officers, directors, employees, contractors, affiliates, licensors, service providers, successors, and assigns from and against any and all claims, actions, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • your use of the Platform;

  • your violation of these Terms;

  • your violation of applicable law;

  • your infringement of another person's intellectual property rights;

  • content you submit through the Platform;

  • your interactions with other users, Hosts, Guests, or Third-Party Vendors;

  • any negligent, fraudulent, or intentional misconduct by you.

EPICA reserves the right to assume the exclusive defense of any matter subject to indemnification.

_______________________

23. Suspension and Termination

EPICA may suspend, restrict, deactivate, or terminate any account, Property, or access to the Platform whenever EPICA reasonably determines that continued participation could:

  • violate these Terms;

  • jeopardize guest safety;

  • facilitate fraud;

  • infringe intellectual property rights;

  • expose EPICA to legal liability;

  • undermine the integrity of the Platform.

Properties may be deactivated rather than permanently deleted in order to preserve operational information, onboarding work product, and historical records, unless deletion is required by law or specifically requested by the Host.

Guest accounts may remain active until deleted by the Guest or otherwise removed in accordance with applicable law.

Termination of an account does not automatically eliminate obligations accrued before termination.

_______________________

24. Platform Evolution

EPICA continually improves its Platform.

Features, services, integrations, booking models, subscription plans, payment functionality, messaging services, Property Knowledge Base capabilities, and commercial offerings may be introduced, modified, suspended, or discontinued at any time.

EPICA may also introduce experimental, beta, preview, or limited-release features that are subject to additional terms.

Continued use of the Platform following modifications constitutes acceptance of those changes.

_______________________

25. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of law principles.

Any legal action arising from these Terms shall be brought in a court of competent jurisdiction located within the State of New Jersey unless applicable law requires otherwise.

_______________________

26. Assignment

EPICA may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, corporate reorganization, financing transaction, or similar business event.

Users may not assign their rights or obligations under these Terms without EPICA's prior written consent.

_______________________

27. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect.

_______________________

28. Waiver

Failure by EPICA to enforce any provision of these Terms shall not constitute a waiver of any future enforcement of that or any other provision.

_______________________

29. Entire Agreement

These Terms, together with the EPICA Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between EPICA and the user concerning use of the Platform and supersede all prior understandings relating to the subject matter hereof.

_______________________

30. Changes to These Terms

EPICA may revise these Terms from time to time.

When material changes are made, EPICA will update the Effective Date and provide notice where required by applicable law.

Continued use of the Platform following the effective date of revised Terms constitutes acceptance of the updated Terms.
